Client engagement is crucial for a successful business venture, and Thanuja Palla is dedicated to maintaining a high level of communication. She takes the time to involve the client and integrate their goals, concerns, values, and feedback.

Her primary area of interest is Mergers. She conducted extensive research on M&A transactions within the realm of corporate law, valuation, tax laws, and securities regulations. She served as a research assistant under Professor Samuel C. Thompson, Jr., the Director of the Center for the Study of Mergers & Acquisitions at Penn State Law. Professor Thompson was impressed with her passion and knowledge of corporate and related legal issues. Consequently, he asked her to edit and review updates to sections of his two books: “Mergers, Acquisitions and Tender Offers” and “Corporate Valuation in Mergers and Acquisitions.” Additionally, Professor Thompson utilised her comments on the newly issued Antitrust Merger Guidelines of the U.S. Department of Justice and Federal Trade Commission in discussing an update to his book “Mergers, Acquisitions, and Tender Offers,” showcasing his recognition of her excellent work.

Founder and Partner at ‘Samhitha’- a Corporate, Secretarial, Legal, and Taxation Consulting Firm in Hyderabad, India. She has managed the formation, funding, financial restructuring, and debt finance/secured transactions for various private and public companies. Some of the projects include:

  • Negotiated the contract between BBI Advertising Pvt Ltd and the company’s investor and managed the entire $25 million funding process by issuing a convertible note.
  • Formation, secretarial compliance, drafting of employee contracts, commercial contracts, and filing IPR for V9 Medicare Pvt Ltd.
  • Set up subsidiaries, J/Vs, and associate enterprises in the USA and Middle East.
  • Handles Tax and corporate law compliance for Companies based in the Middle East.
  • Assisted in structuring debt finance Non-Convertible Debentures issued by MN Biotech India Pvt Ltd to a Private Equity Firm, Cerestra.
  • Legal Consultant for Trade Commerce Bank, an offshore banking entity in the Commonwealth of Dominica.
  • Legal Counsel for PNK Commodities LLC, a general trading entity in Dubai. Handles AML/CDD/CFT policies, tax compliance, and financial
  • Assisted in due diligence of My Home Constructions Private Ltd, a leading real estate construction company in Telangana, India.
